Effective date below matches the in-app “Last updated” in Settings. By accessing or using the Services, you agree to these Terms. If you do not agree, you must not use the Services. Supplemental terms posted in the app may be incorporated by reference. Our Privacy Policy and any in-product consent (for example, optional product improvement data collection) govern data practices alongside these Terms.
1. Our services
- The Services are intended for teams that want source-linked documentation, chat, and context from integrations (such as code hosts, work tracking, and databases) you connect.
- You are responsible for your compliance with laws and your own policies when you use the product with your organization’s data.
2. Integrations, credentials, and your data
- You authorize read or other minimum scopes the product requests (see our documentation and each provider’s permission screen) so we can create documentation and chat on your behalf.
- You are responsible for the accuracy, legality, and sensitivity of content you or your organization puts into connected systems, and for ensuring you have rights to connect them.
- We do not claim ownership of your work product; we use your content to run the product as described in the Privacy Policy.
Optional product improvement (opt-in): If you enable in-app product improvement, we may process usage and feedback (e.g. chat questions and “was this helpful” signals) as set out in the Privacy Policy. You may withdraw consent in Settings. If you do not opt in, we will not use your chat questions for that optional product improvement.
3. Acceptable use
- No violation of law; no infringement of others’ rights.
- No attempts to break security, probe non-public areas, or overload the Services; no use of automated access except as we expressly allow in API terms.
- No use of the Services to build a competing service by systematically scraping the product, reverse engineering, or abusing the API, except as we explicitly permit.
- We may suspend use that risks the Services or other users, or to comply with law; we are not required to pre-screen your content, but we may remove content in limited cases to comply with these Terms, law, or takedown requests.
4. Our intellectual property
- We and our licensors own the Service, the ScopeDocs name, logos, software, and documentation, subject to the limited license below.
- You receive a non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms and your subscription if applicable. You may not copy, modify, create derivative works from, sell, or publicly display our product outside what the UI and documentation allow.
5. Feedback
- If you send us feedback or suggestions, you grant us a broad, royalty-free license to use them to improve the Services without paying you, except where your law or our separate written agreement says otherwise. Proprietary code that you do not offer as “feedback” remains yours.
6. DISCLAIMER
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR MALWARE-FREE OPERATION.
7. limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER SCOPEDOCS INC NOR ITS SUPPLIERS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OR LOST PROFITS, DATA, OR GOODWILL ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE WERE TOLD OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES OR THESE TERMS, EXCEPT WHERE LIABILITY CANNOT BE CAPPED (e.g. only to the minimum extent required by your jurisdiction) IS LIMITED TO THE GREATER OF (A) USD $100 OR (B) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, IF THE CLAIM RELATES TO PAID SERVICES.
Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted.
8. Indemnity
To the maximum extent permitted by law, you will indemnify and hold harmless ScopeDocs Inc, its officers, and employees from third-party claims, damages, and reasonable attorneys’ fees arising from: (1) your content or your users’ use of the Services, (2) your breach of these Terms, or (3) your violation of law or third-party rights, except to the extent caused by our willful misconduct.
9. Term, suspension, and termination
- These Terms apply while you use the Services.
- You may stop using the Services and request account deletion in accordance with our Privacy Policy.
- We may modify or discontinue features, or terminate or suspend access, including for non-payment, risk to the service, or breach of these Terms, where permitted.
- Provisions that by their nature should survive (including disclaimers, limitations, indemnity, and governing law) will survive.
10. Governing law; disputes; class action waiver (summary)
- These Terms are governed by the laws of the State of California, USA (disregarding conflict-of-law rules) except for certain U.S. federal questions.
- You agree to the venue and courts of Alameda County, California (except where mandatory consumer law in your home jurisdiction prevents this); see our long-form U.S. terms of service for the formal dispute, arbitration, and class action waiver provisions your counsel requires.
- For EU/UK/EEA consumers: you may have mandatory local rights and may bring claims in your country of residence; nothing in this summary removes those.
11. Changes to these terms
- We may update these Terms; we will use the “Last updated” date and, where we make material changes, additional notice in the app or by email to your account, as required. Continued use after the effective date may constitute acceptance, except where you have termination or refund rights by law or contract for paid plans.
12. Open-source, third party, and AI
- The Services may include open-source components; their licenses are available in the relevant repositories or About / notice files.
- AI outputs are not professional advice. You are responsible for verifying outputs, especially in regulated domains.
